What is LLP Registration?

A Limited Liability Partnership (LLP) is a business structure registered under the Limited Liability Partnership Act, 2008. It is a separate legal entity, and each partner's liability is limited to their agreed contribution, so partners are not personally liable for the LLP's debts.

LLPs are popular with professional firms, consultants, agencies and family businesses because they combine a partnership's flexibility with lighter compliance than a company. Venture investors generally prefer a Private Limited Company, so an LLP is rarely the first choice for startups planning to raise equity funding.

Partners
Minimum 2 partners, with no upper limit. Partners can be individuals or companies.
Designated partners
At least 2 individuals, and at least one must be a resident of India (stayed 182 days or more in the previous year).
DIN and digital signature
Each designated partner needs a Director Identification Number and a Digital Signature Certificate.
Registered office
A verifiable office address in India, with proof.
LLP agreement
Must be filed within 30 days of incorporation. We draft it around how you want to run the business.
