What is ROC Annual Filing?
Every registered company and LLP must file annual documents with the Registrar of Companies (ROC), even if it had no business activity. Companies file financial statements (Form AOC-4) and an annual return (Form MGT-7, or MGT-7A for small companies and OPCs). LLPs file Form 8 (statement of account and solvency) and Form 11 (annual return).
Missing these filings leads to a late fee for each day of delay, and prolonged non-filing can lead to director disqualification and the company being struck off. Because the dates follow your AGM, we plan the sequence with you from the start of the year.

- Typical dates
- For a 31 March year-end, the AGM is generally due by 30 September, AOC-4 within 30 days of the AGM and MGT-7 within 60 days.
- LLP filings
- Form 11 generally by 30 May and Form 8 generally by 30 October.
