What is Partnership Firm Registration?

A partnership firm is a business owned by two or more people who agree to share profits, governed by the Indian Partnership Act, 1932 and a written partnership deed. The firm is not a separate legal entity, and partners are personally liable for the firm's debts.

It is quick and inexpensive to set up and has low compliance. Registration with the Registrar of Firms is optional, but an unregistered firm has limits on enforcing contract rights in court, so registration is advisable.

Is this right for you?

Who this is for

A good fit if you

  • Are two or more people starting a small business together
  • Want a low-cost, low-paperwork structure
  • Want flexible profit-sharing and management
  • Are testing an idea before choosing a larger structure

Something else may suit you better if

You want personal assets protected. An LLP or Private Limited Company gives limited liability.

You plan to raise outside funding. A Private Limited Company is what investors expect.

You are a solo founder. A proprietorship or OPC is the right fit.

Timeline & cost

How long it takes and what it costs

A few daysto draft and sign the deed. Registration time depends on your state's Registrar of Firms.

Actual timing depends on how quickly documents are ready and on the processing time of the authority involved.

Your total cost has two parts: our professional fee, and any government or statutory fees that apply. Government fees are set by the authority and vary by case, so we give you an itemised quote before you commit to anything. See our pricing page for packages.

FAQ

Frequently Asked Questions

Direct answers to the questions we hear most.

No. Registration with the Registrar of Firms is optional, but an unregistered firm cannot enforce certain rights against third parties in court, so we recommend registering.
It should cover capital contributions, profit-sharing ratio, roles and authority, salaries or interest, admission and exit of partners, and how disputes are resolved.
In a partnership, partners have unlimited personal liability and the firm is not a separate legal entity. An LLP is a separate entity and limits each partner's liability.
In many cases, yes. Partnerships can generally be converted to an LLP or a Private Limited Company, though the process depends on your situation.
