What is Board Resolution Drafting?

A resolution is the formal record of a decision taken by a company's board of directors or shareholders. Many actions need one before they are valid or before a bank, regulator or investor will accept them, such as opening a bank account, borrowing, appointing directors or an auditor, allotting shares or approving accounts.

Some resolutions, mainly special resolutions, must also be filed with the ROC in Form MGT-14, generally within 30 days. Poorly worded or missing resolutions are a common due diligence finding, so we draft them to match the decision and the law.
